Background / General description:
The joint World Bank/International Finance Corporation's Capital Market Development and Corporate Governance Service Line (FCMCG) is part of the Financial and Private SectorDevelopment 's (FPD) Capital MarketsPractice. It is a global leader in developing capital markets and improving corporate governance in emerging market countries, providing technical assistance, thought leadership, and support to the World Bank Group's programs and, in securities markets, to related IFC investment operations.
The demand for good corporate governance is growing in emerging market countries to help companies, financial institutions , and state-owned enterprises (SOEs) improve their performance, access affordable external financing, and lower the cost of capital with the broader goals of advancing financial stability and economic growth . Corporate governance is integral to the development of equity and bond markets. Governance of listed companies and of SOEs has a direct impact on capital markets development and on infrastructure financing. Financial sector governance is crucial to the sustainability of the banking sector and the development and growth of pension funds and insurance companies.
FCMCG's corporate governance product line has three focus areas: capital markets; financial institutions ; and state-owned enterprises. In each of these areas, FCMCG works closely with country counterparts to carry out diagnostics and roadmaps for reform, strengthen legal and regulatory frameworks, and build capacity of institutions and market participants through advisory support, training, and knowledge sharing. In capital markets, the team carries out CG ROSCs and blueprints for CG reform and provides advisory services to securities regulators. In financial institutions , the team focuses on CG of banks and micro-finance institutions and is expanding to cover other non-bank financial institutions and financial conglomerates. In SOEs, the team advises on legal and regulatory reform, the role of the state as owner, and CG at the company level. The team interacts closely with other networks of the World Bank such as Poverty Reduction and Economic Management and Sustainable Developmentas well as with the Corporate Governance group in the IFC. It represents the World Bank Group in international fora such as the OECD, FSB, and ICGN.
The position is based in Washington, DC and involves frequent travel.

If the selected candidate is a current Bank Group staff member with a Regular or Open-Ended appointment, s/he will retain his/her Regular or Open-Ended appointment. All others will be offered a 2 year term appointment.
Duties and Accountabilities:
FCMCG is looking for a Senior Corporate Governance Specialist to be an integral part of the group's global operations, with an emphasis on developing good corporate governance frameworks and practices.
More specifically to:
  • Provide high quality advice to emerging market countries on corporate governance, including in the areas of shareholder rights, boards of directors, disclosure and transparency, institutional and enforcement frameworks, and risk governance.
  • Participate in WBG operations and design and manage CG advisory programs and projects.
  • Contribute to the unit's broader corporate governance work, including knowledge management and internal and external partnerships.
  • Build and manage relationships with key government and industry officials in emerging and developed markets for depth of knowledge and contacts.
  • Build and manage relationships with different parts of the WBG, including IFC, to design and implement corporate governance programs.
  • Educate clients in and outside WBG on trends and appropriate/best practices in corporate governance. Prepare knowledge materials and publications for distribution in and outside WBG.
Selection Criteria:
  • In depth knowledge and experience in corporate governance policies and issues.
  • Knowledge of key corporate governance areas with mix of experience in capital markets, financial institutions and SOEs is a strong plus, as is industry and regulatory experience.
  • Ten plus years of relevant professional experience.
  • Strong project management skills, with proven ability to design and manage complex programs and projects and achieve impact in multicultural environments.
  • Strong analytical, writing, and communication skills and proven ability to publish.
  • Demonstrated ability to work effectively with high level officials in government and the private sector.
  • Ability to represent the WBG in international fora.
  • MBA or equivalent in law, finance, or economics.
  • Fluency in French and/or Spanish highly desirable.
